1. Acceptance of Terms

By downloading, installing, or using the Va'a Sync App, you agree to be bound by these Terms of Use. If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and SBB Americas LLC. Your continued use of the App after any changes to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

Va'a Sync is a Hawaiian outrigger canoe crew management application designed to help canoe clubs manage their operations. The App provides the following features:

• Canoe club management — create and administer clubs, manage memberships, and assign roles
• Event coordination — schedule and manage paddling events, track RSVPs and attendance
• Crew assignments — assign paddlers to canoes and seats for events
• Weather forecasts — display weather information for event locations to assist with planning (for informational purposes only)
• Push notifications — send timely updates about events, crew assignments, and club activity

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time without prior notice.

3. Account Registration

To use most features of the App, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Keep your password confidential and not share it with others
• Notify us immediately at [email protected] if you suspect any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 13 years of age to create an account. By registering, you represent that you meet this age requirement.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

By using the App, you agree to use it only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Use the App for any illegal, fraudulent, or unauthorized purpose
• Harass, abuse, threaten, or harm other users of the App
• Submit false, misleading, or inaccurate information
• Attempt to gain unauthorized access to any part of the App, its servers, or any systems connected to it
• Interfere with or disrupt the integrity or performance of the App
• Use automated scripts, bots, or other tools to access or interact with the App without our express written consent
• Attempt to reverse engineer, decompile, or disassemble any part of the App
• Use the App to distribute spam, unsolicited communications, or malicious content
• Impersonate another person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to investigate and take appropriate action against any user who violates these conduct standards, including suspending or terminating their account.

6. Intellectual Property

The App and all of its content, features, and functionality — including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof — are owned by SBB Americas LLC and are protected by United States and international intellectual property laws.

• Our property: The Va'a Sync name, logo, app design, source code, and all related materials are the exclusive property of SBB Americas LLC
• Your data: You retain ownership of the data and content you submit to the App, such as your profile information and club activity records
• License to use: We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purposes in accordance with these Terms

You may not copy, modify, distribute, sell, or sublicense any part of the App without our prior written consent.

7. Club Data & Content

Va'a Sync is a club-based platform. The following rules apply to club data and content:

• Club administrator responsibility: Club administrators are solely responsible for the accuracy, legality, and appropriateness of data they create and manage within their club, including member records, event details, and crew assignments
• Shared visibility: Data you submit within a club — such as your name, role, RSVP status, and crew assignments — is visible to other members and administrators of that club
• Guest records: Coaches who register guest participants for events are responsible for ensuring they have appropriate authorization to submit that participant's information
• Accuracy: You agree not to submit false or misleading club data, including fabricated attendance records or unauthorized role changes

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of any information in the App
• Warranties that the App will be uninterrupted, error-free, or free of viruses or other harmful components

Weather data: Weather forecasts displayed in the App are sourced from third-party providers and are provided for informational purposes only. We do not guarantee the accuracy or timeliness of weather information and it should not be relied upon as the sole basis for safety decisions during paddling activities.

Availability: We do not guarantee that the App will be available at all times. We may experience outages, maintenance periods, or technical issues that temporarily interrupt service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SBB AMERICAS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or goodwill
• Costs of substitute goods or services
• Any damages arising from your use of or inability to use the App
• Any damages arising from unauthorized access to or alteration of your data

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE APP EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

11. Changes to Terms

We reserve the right to modify these Terms of Use at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this page
• Post the updated Terms within the App

Your continued use of the App after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the App.

We encourage you to review these Terms periodically to stay informed of any updates.

12. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida. By using the App, you consent to the personal jurisdiction of such courts.
